1. Introduction

These Terms of Use apply between Flo-culture Ltd (company number 07906848) of Studio 2.01, Northern Design Centre, Baltic Business Quarter, Gateshead, NE8 3DF (we or us) and all visitors, users and others who access our application (you, or Users), and sets out the terms between you and us under which you may access use our services (Service or Services). Your use of our Services is governed by these Terms of Use which contain important details, including what you and we can do with content comprised in the Services; how you can limit rights to use content you choose to submit, limits on our liability and responsibility, and how to make a complaint. By uploading content, you register as a "Registered User" and confirm your agreement to adhere to the Terms of Use set out below.

2. Accessing Our Service And Your Content.

Access to our Services is permitted on a temporary basis, and we reserve the right to withdraw or amend any or all of the Services without notice at any time. We will not be liable if, for any reason, our Services are unavailable at any time or for any period.

3. Reliance on Information

Commentary and other materials posted via our Services are not intended to amount to advice, and views and opinions are solely those of Memory Box users. We will not have any liability arising from any reliance placed on such materials by any visitor to or user of our Services, or by anyone who may be informed of any of its contents. Please check with an expert before seeking any reliance on any such content.

4. Acceptable Use

4.1. We want all Users to be able to enjoy using our Services. You agree not to cause interference or impairment with, or damage or disruption to: our App, any website we may operate or other Services;

4.1.1. any equipment or network on which our Services are stored or through which they are provided;

4.1.2. any software used in the provision of our Services; or

4.1.3. any equipment or network or software owned or used by any third party.

4.2. You also agree not to:

4.2.1. use the Services in any way which is unlawful, illegal, fraudulent or harmful, or in connection with any unlawful, illegal, fraudulent or harmful purpose or activity, including for the purpose of harming or attempting to harm minors in any way;

4.2.2 use the Services to copy, store, host, transmit, send, use, publish or distribute any material which consists of, or is linked to, any spyware, adware, computer virus, Trojan horse, worm, keystroke logger, rootkit, time-bomb or other malicious or technologically harmful material;

4.2.3. transmit, or procure the sending of, any unsolicited or unauthorised advertising or promotional material or any other form of similar solicitation (spam);

4.2.4. attempt to gain unauthorised access to our Services, the server on which our Services are stored or any server, computer or database connected to our Services. You must not attack our Services via a denial-of-service attack or a distributed denial-of-service attack;

4.2.5. conduct any systematic or automated data collection activities (including without limitation scraping, data mining, data extraction and data harvesting) on or in relation to our Services without our express written consent; or

4.2.6. use our Services for any purposes related to marketing without our express written consent.

5. Registered Users' use of Memory Box Services

5.1 When you are a Registered User, you agree that when using our Memory Box Services, in addition to the rules set out above, you will not:

5.1.1. contribute, email, transmit or otherwise disseminate any content (including, text, narrative audio, music, photographs or other images) which is in breach of copyright, trademark, or other proprietary rights; is defamatory, obscene, vulgar or indecent or may have the effect of being harassing, threatening, abusive or hateful or that otherwise degrades or intimidates an individual or group of individuals on the basis of religion, gender, sexual orientation, race, ethnicity, age or disability; or that is illegal;

5.1.2. transmit personal data regarding another user or other person without their express consent, including, without limitation, their email, address or other contact details that may enable another person to identify or contact them;

5.1.3. act in any way that may lead to the encouragement, procurement or performance of any criminal activity;

5.1.4. use the Service for any purpose other than your own non-commercial use or in accordance with these Terms of Use;

5.1.5. impersonate any person or entity (including, without limitation, any of our employees or representatives) nor falsely state or otherwise misrepresent your affiliation with a person or entity; nor

5.1.6. use any content available via our Service which has been contributed by a person other than you (Contributed Content), other than as set out in section 12 below.

6. Password, Profile and Security

6.1. You are responsible for maintaining the confidentiality of your password and name and are responsible for all activities that occur under them. We do not have the means to check the identity of people using our Services and will not be liable when your password or name are used by someone else.

6.2. You agree to notify us immediately of any unauthorised use of your password or name or any other breach of security of which you become aware.

6.3. You warrant to us that:

6.3.1. you are 16 years or older;

6.3.2. all information and details provided by you on creation of an account are true, accurate and up to date in all respects and at all times; and

6.3.3. all content that you contribute to the Memory Box App is yours and/or you have all rights required to use and publish that content.

7. Accessing Memory Box

7.1. Please note that if you are using a smartphone, tablet or other device, you should be aware that your mobile provider's normal rates and fees may still apply while you are using Memory Box.

7.2. You are responsible for making all arrangements necessary for you to have access to Memory Box.

7.3. You are also responsible for ensuring that all persons who access Memory Box through your internet connection are aware of these Terms of Use and other applicable terms and conditions, and that they comply with them.

8. Termination and Cancellation

8.1. You may terminate your registration at any time by contacting us at help@memoryboxstories.com.

8.2. We reserve the right to terminate or suspend your registration where:

8.2.1. we have reason to believe or suspect that you are acting in breach of these Terms of Use;

8.2.2. where required to do so by law, regulatory body or our licensors;

8.2.3. whilst investigating any complaint about you or your activity in connection with your use of the Services; or

8.2.4. any time on not less than 1 (one) days' notice to you.

9. Content Metadata

9.1. What it is: Content Metadata is descriptive information about any Media Content (defined in section 11.1 below) provided by you or other users including title, date, location, keywords, copyright and licensing information, etc. and information about the person providing it (Content Metadata). It includes information that enables users to identify, discover, interpret, or manage Media Content, such as the name of the author of the work, the date on which it was first created or published, or where the physical object is located.

9.2. How it's licensed: By sharing your Content Metadata through our Services, you agree that it will be made available to the public under the terms of the Creative Commons CC0 1.0 Universal Public Domain Dedication.

9.3. How others can use it: Content Metadata is dedicated to the public domain and can be used by Memory Box or others for any purpose without further permission being required.

9.4. How Memory Box and others can edit your Content Metadata: Other users may suggest changes to your Content Metadata, but changes must be made by you or the Memory Box content team. In addition, the Memory Box content team may add keywords which will help other users find your Media Content. From time to time, the Memory Box content team may also make minor improvements to your Content Metadata, such as adding Street View position. Other than these minor improvements, the Memory Box content team will always let you know when they have made changes to your Content Metadata - for example if we correct a location or date which looks to us like a mistake, or is brought to our attention by another user.

10. Text Content

10.1. What it is: Text-based creative content (Text Content).

10.2. How it's licensed: By sharing your Text Content through our Services, you agree to allow us to license your Text Content under the Creative Commons Attribution-ShareAlike 3.0 Unported Licence, otherwise known as the "CC BY-SA 3.0 Licence".

10.3. How others can use it: You allow Memory Box, and others, to freely re-use and adapt your Text Content with proper attribution to you. If it is altered, transformed, or built upon, the resulting work may be distributed only under the same or similar licence.

11. Media Content

11.1. What it is: Media content in the form of photographs, audio files and other recorded documents (Media Content).

11.2. Your media content belongs at all times to you, and Memory Box will be entitled to use it as in accordance with these terms.

11.3. How Memory Box can use it: Memory Box and Flo-culture do not claim any ownership of Media Content you contribute to Memory Box. When you contribute Media Content, you do however grant us a royalty-free and non-exclusive licence to use your Media Content as set out below. This licence is separate and different from your chosen Media Content licence outlined above, which applies to other users' use of your Media Content. On contributing any Media Content, you agree that we can:

11.3.1. use your Media Content in connection with the provision of the Services. These services may change from time to time, so you should check back regularly to see which new services have been added. If you decide to, you can always remove your Media Content;

11.3.2. use your Media Content in press releases, promotional materials and in blog and online coverage in relation to our Services, either directly or through our partners;

11.3.3. amend, copy or delete your Media Content, in the course of doing so and at our discretion, pursuant to any complaints in relation to such Media Content; and

11.3.4. communicate your Media Content to the public and otherwise make it available through the Services including, without limitation, the publication of your Media Content:

(a) as part of downloadable PDF packs and other materials for schools and non-commercial sites;

(b) via Memory Box and Flo-culture social networking pages and tools; and

(c) at exhibitions in any form.

11.4. We will not commercially exploit your Media Content for profit or use it for any purpose unconnected with marketing communications or delivery of the Services without first obtaining your consent. To the extent that Media Content is used, we will always credit it to the contributor.

12. Media Content Licences

12.1. As outlined above, when you contribute Media Content via or to our Services, the following conditions will govern the use of such Media Content:

12.1.1. Copyright protected: You do not give others a licence to use your Media Content, other than for the purposes of viewing the content via the Services. You may state your ownership of such copyright-protected content on the Services. Others may not, without limitation, copy, reproduce, republish, download, post, broadcast, record, transmit, commercially exploit, edit, communicate to the public or distribute in any way your copyrighted content, save as set out here. Users may have also have rights to use your Media Content in ways permitted under relevant copyright laws (for example, fair dealing for research and private study or criticism, review and news reporting or educational activities).

12.1.2. Regardless of licence, you retain the right to remove any content which you have submitted from our Services at any time. By doing so, any rights Memory Box hold will no longer apply (where such content has already been produced in physical packs, materials or posters, your content will no longer be used in future publications, though we will have the right to continue to use any existing materials in production or previously in circulation).

12.2 Although we reserve our rights to do so, we do not monitor Contributed Content and therefore, since it is not ours and we do not check or verify it, we will not be responsible or liable for the content or accuracy of any Contributed Content.

12.3 You understand that by using the Services, you may be exposed to content that is inaccurate or that you may find offensive, indecent or objectionable and that, in this respect, you use the Services at your own risk.

12.4 Contributed Content submitted must

12.4.1 be accurate (where it states facts);

12.4.2 be genuinely held (where it states opinions); and

12.4.3 comply with applicable law in the UK and in any country from which they are posted.not be unlawful in any way.

12.5. You must not submit any Contributed Content through the Services that:

12.5.1. is or has ever been the subject of any threatened or actual legal proceedings or other similar complaint;

12.5.2. contains any material which is defamatory of any person;

12.5.3. contains any material which is obscene, offensive, hateful or inflammatory;

12.5.4. promotes or contain sexually explicit material;

12.5.5. promotes or contains violence;

12.5.6. promotes discrimination based on race, sex, religion, nationality, disability, sexual orientation or age;

12.5.7. infringes any copyright, database right, trade mark or other intellectual property right of any other person;

12.5.8. is likely to deceive any person;

12.5.9. is made in breach of any legal duty owed to a third party, such as a contractual duty or a duty of confidence;

12.5.10. promotes any illegal activity;

12.5.11. is threatening, abuse or invade another's privacy, or cause annoyance, inconvenience or needless anxiety;

12.5.12. is likely to harass, upset, embarrass alarm or annoy any other person;

12.5.13. is used to impersonate any person, or to misrepresent your identity or affiliation with any person;

12.5.14. gives the impression that it emanates from us, if this is not the case; or

12.5.15. advocates, promotes or assists any unlawful act such as (by way of example only) copyright infringement or computer misuse.

12.6. Memory Box operates a copyright policy in relation to any user submissions which are alleged to infringe the copyright of a third party. Details of that process and contact details for any content-related complaints can be found below.

12.7. As part of Memory Box's copyright policy, Memory Box may terminate user access to the Services if a user uses content in a manner which is not permitted.

12.8. We reserve the right to remove or modify any material submitted via our Services, or stored on our servers, or hosted or published on our Website.

13. Restrictions on use of Memory Box's content

13.1. Your use of our Services grants no rights to you in relation to our (or our licensors') intellectual property rights including, without limitation, copyright, trademarks, logos, graphics, photographs, animations, videos and text, (Our Content).

13.2. You may not, without limitation, copy, reproduce, republish, download, post, broadcast, record, transmit, commercially exploit, edit, communicate to the public or distribute in any way Our Content or the computer codes of elements comprising our Services other than for your own, non-commercial use. However, you may download insubstantial excerpts of Our Content to your hard disk for the purpose of viewing it, provided that no more than one copy of any information is made.

13.3. Any use of Our Content other than that permitted under these Terms of Use may only be undertaken with our prior express authorisation.

14. Limitation on our Liability

14.1. Nothing in these Terms of Use excludes or limits our liability for death or personal injury arising from our negligence, or our fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited by English law.

14.2. To the extent permitted by law, we exclude all conditions, warranties, representations or other terms which may apply to Memory Box or any content on it, whether express or implied.

14.3. We are not liable for any loss or damage, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, even if foreseeable, arising under or in connection with:

14.3.1. use of, or inability to use, Memory Box; or

14.3.2. use of or reliance on any content displayed on Memory Box.

14.4. If you are a business user, please note that in particular, we will not be liable for:

14.4.1. loss of profits, sales, business, or revenue;

14.4.2. business interruption;

14.4.3. loss of anticipated savings; or

14.4.4.loss of business opportunity, goodwill or reputation.

14.4.5. any indirect or consequential loss or damage.

14.5. If you are a consumer user, please note that we only provide Memory Box for domestic and private use. You agree not to use Memory Box for any commercial or business purposes, and we have no liability to you for any loss of profit, loss of business, business interruption, or loss of business opportunity.

14.6. We will not be liable for any loss or damage caused by a virus, denial-of-service attack or distributed denial-of-service attack, or other technologically harmful material or action (whether malicious or otherwise) that may infect your computer equipment, smart phone or other mobile device, computer programs, data or other proprietary material due to your use of the Service or to your downloading of any material posted on it, or on any website or other resources linked to it.

14.7. We assume no responsibility for the content of websites or other resources linked to or accessible via Memory Box. Such links should not be interpreted as endorsement by us. We will not be liable for any loss or damage that may arise from your use of them.

14.8. The material displayed through our Services is provided without any guarantees, conditions or warranties as to its accuracy. Whilst we endeavour to ensure that the information provided through our Services (excluding user content) is correct, we do not promise that it is complete or accurate; nor do we commit to ensuring that the Services remains available or that the material provided through the Services is kept up-to-date. Please be aware that our Services are a public resource that enables individuals to contribute their own content and version of events, some of which may be inaccurate. We do not monitor the Services and do not promise that the information on Memory Box will be free from errors or omissions, nor that it will not contain inappropriate content. We cannot be held liable for any contents of or consequences of such material. It is your responsibility to take precautions and use common sense when using the Services and any Contributed Content or when providing any information to others via the Services. Unfortunately, there may be occasions when you may find other Registered Users' or visitors' use of the Services or posted Contributed Content offensive, harmful or deceptive. If you have any complaints regarding another Registered User or Contributed Content, then you should use the complaints procedure set out below.

14.9. Subject to section 13.1, our liability in tort, contract, negligence, pre-contract or other representations or otherwise arising out of or in connection with the Services, or the Website, App and/or these Terms of Use shall be limited in aggregate to £100.00

14.10. We do not accept any liability for damage to your computer system or loss of data that results from your use of the Services and we cannot guarantee that any files that you download are free from viruses, contamination or destructive features.

14.11. Whilst we use all reasonable endeavours to correct any errors or omissions in our own posted information as soon as practicable once they have been brought to our attention, we do not promise that it is correct.

14.12. We cannot promise that our Services will be available uninterrupted and in fully operational condition due to the nature of the internet and our dependency on other service providers. Access to the Services may be suspended temporarily and without notice in the case of system failure, maintenance or repair or for reasons reasonably beyond our control.

15. Complaints and Feedback

15.1. If you believe that any content made available through our Services is in breach of these Terms (e.g. obscene, explicit or illegal content) you can report this by contacting us at help@memoryboxstories.com. We will keep your identity anonymous.

15.2. If you have any specific complaints about our Services, another Registered User, visitor to the Services or any Contributed Content or any other aspects of the Services, then you can contact us at help@memoryboxstories.com. Please note that we are under no obligation to take any action against a Registered User or other person unless required to by law.

16. Trademarks and Copyright

The Memory Box® is a registered trademark of Flo-culture Ltd, a company registered in England and Wales under company number 07906848. Any other trademarks are the property of their respective owners. The contents of the website and app are ©2014 by Flo-culture Ltd. All rights reserved.

17. Copyright Infringement Notification Procedure

17.1. To file a copyright infringement notification with us, you will need to send a written communication to us with all of the following information in it, using this format:

17.1.1. include a statement telling us that you have found a photo or other content on Memory Box which you believe infringes your copyright or (for example, "I hereby confirm that I believe the photo identified below infringes my copyright");

17.1.2. an electronic or physical signature of a person authorised to act on behalf of the copyright owner;

17.1.3. identification of the copyright work you claim has been infringe;

17.1.4. identification of the material that is claimed to be infringed, and where it is located in the app;

17.1.5. information that enables us to contact you; address, contact number and email address;

17.1.6. a statement that you have a good faith belief that use of the material in the manner complained of is not authorised by the copyright owner, it's agent, or law; and a statement, made under penalty of perjury, that the above information is accurate; and

17.1.7. you are the copyright owner or are authorised to act on behalf of the owner.

17.2. The communication should be sent by email to hello@flo-culture.com, or posted to: Flo-culture, Studio 2:01, Northern Design Centre, Baltic Business Quarter, Gateshead, Tyne and Wear, NE8 3DF United Kingdom.

17.3. Please make sure you know whether or not the content that you have seen on Memory Box infringes your copyright. If you are unsure what your rights are, or whether your copyright has been infringed, you should check with a legal adviser first. Be aware that there may be adverse legal consequences in your country if you make a false or bad-faith allegation of copyright infringement by using this procedure.

17.4. Please note that the information provided in this legal notice may be forwarded to the person who provided the allegedly infringing content.

17.5. Any person who knowingly and materially misrepresents that material or activity was removed or disabled in error or through misidentification may be subject to legal liability. Please also note that we enforce a policy that provides, under appropriate circumstances, for the termination of access to Registered Users who are infringers.

18. Changes to these Terms of Use

We are constantly looking for new ways to improve our Services and to enhance your experience. We therefore reserve the right to amend and develop the Services and these Terms of Use at any time. We will post amendments to these Terms of Use on the App and/or on the page where you download updates to the App, other than in relation to minor changes which have no detrimental impact on you, send you a notification of such change by email to the email address that you have registered with us, where relevant. All such changes will take effect once they have been posted on the App and you will be deemed to have accepted any such changes from that date. Please check this page regularly to ensure you are familiar with the current version of our Terms of Use as they are binding on you. If you do not accept any changes made in relation to the Memory Box Service, then you can exercise your right of termination as set out in these Terms of Use or simply discontinue your use of the Services at any time.

19. Severance

Each provision of these Terms of Use shall be constructed separately and independently of each other and the invalidity of any one part shall not affect the validity of any other part.

20. Exclusion of Third-Party Rights

These Terms of Use are for the benefit of you and us, and are not intended to benefit any third party or be enforceable by any third party. The exercise of our and your rights in relation to these Terms of Use is not subject to the consent of any third party.

21. Entire Agreement

These Terms of Use, together with our Privacy Policy, constitute the entire agreement between you and us in relation to your use of our Services, and supersede all previous agreements in respect of your use of the Services.

22. Governing Law

22.1. If you are a consumer, please note that these Terms of Use, their subject matter and their formation, are governed by English law. You and we both agree that the courts of England and Wales will have non-exclusive jurisdiction. However, if you are a resident of Northern Ireland you may also bring proceedings in Northern Ireland, and if you are resident of Scotland, you may also bring proceedings in Scotland. 22.2. If you are a business, these Terms of Use, their subject matter and their formation (and any non-contractual disputes or claims) are governed by English law. We both agree to the exclusive jurisdiction of the courts of England and Wales.

1.1. Welcome to Flo-culture Ltd. the provider of the Memory Box mobile application (Memory Box, we or us). Flo-culture is committed to protecting your privacy. This Privacy Policy applies between Flo-culture Ltd (company number 07906848) of Studio 2.01, Northern Design Centre, Baltic Business Quarter, Gateshead, NE8 3DF (Flo-culture, we or us) and all visitors, users and others who access our application (you, or Users), and sets out the terms between you and us under which you may access use our services (Service or Services). It applies to the Memory Box mobile app for iPhone, iPad devices or any other compatible devices from time to time (collectively, the Memory Box App or our App). This Privacy Policy applies only to the practices of Flo-culture. By accessing or using our Service, you signify that you have read, understood and agree to our collection, storage, use and disclosure of your personal information as described in this Privacy Policy.

1.2. Flo-culture may change this Privacy Policy from time to time to accurately reflect how we gather and manage your information. Flo-culture will provide you with appropriate notice of any changes to this Privacy Policy.

2. Security

Flo-culture cares about the integrity and security of your personal information. However, we cannot guarantee that unauthorised third parties will never be able to defeat our security measures or use your personal information for improper purposes. You acknowledge that you provide your personal information at your own risk.

3. Information We Collect

3.1. We collect personal information from Users in order to provide you with a personalised, useful and efficient experience. The categories of information we collect can include:

3.1.1 Information You Provide and Information stored on your device

We may collect and store personal information you enter in our Service or provide to us in some other manner, including your name and contact information (including postal address, e-mail address and telephone number) and any other contact details you provide to us. In order to create your Memory Box Story, the App accesses your photographs, and music library stored on your mobile device, on third party websites where they are stored, or other places they may be stored. We may also collect any communications between you and Memory Box.

In addition, we also collect information that you provide when you register and create an account with us, information you provide if you report a problem with our App, records of any correspondence when you contact us, records of any competitions or promotions that you enter and details of your visits to the App including, but not limited to, traffic data, location data and communication data and the resources that you access. 3.1.2 User Content

We collect your personal information contained in any User Content you create, share, store or submit to the App, which may include photo or other image files, music works, sound recording, narration, written comments, information, data, text, scripts, graphics provided or otherwise made accessible by Memory Box.

Information we receive from social networking sites. When you interact with our app through various social media, such as when you login and share through Facebook and others, we may receive information from the social network including your profile information, profile picture, gender, user name, user ID associated with your social media account, age range, language, country, friends list, and any other information you permit the social network to share with third parties.

The data we receive is dependent upon your privacy settings with the social network. You should always review, and if necessary, adjust your privacy settings on third-party websites and services before linking or connecting them to our website or Service.

3.1.3. Information About Others

With your permission, Memory Box may access your contact list available on your mobile device in order to share your Memory Box creations, or to invite your friends and contacts to connect with our Service. We may also collect information about others if you use our Service to upload, share and/or distribute User Content that contains information about others, including their name, image and online contact information.

3.1.4. Metadata

Memory Box collects metadata associated with User Content. Metadata typically consists of how, when, where and by whom a piece of User Content was collected and how that content has been formatted. Users can add or may have added Metadata added to their User Content including keywords posted with a photo, including names, geographical information, comments or other data. This makes your data more searchable and more interactive. However, the Metadata may be accessible to others if you share the User Content with others or on third party social media sites.

We use this information to operate, maintain, and provide to you the features and functionality of the App, as well as to communicate directly with you, such as to send you email messages and push notifications, and permit you to share your stories on the App with your contacts or social media sites. We may also send you Service-related emails or messages (e.g., account verification, subscription notices, change or updates to features of the App, technical and security notices). For more information about your communication preferences, see "Your Choices Regarding Your Information" below.

4. Use Of Cookies And Other Technology To Collect Information

4.1. We automatically collect certain types of usage information when you visit or use our Service. When you visit the App, we may send one or more cookies - a small text file containing a string of alphanumeric characters - to your computer or mobile device that uniquely identifies your browser or operating system and lets us help you log in faster and enhance your navigation through the application. A cookie may also convey information to us about how you use the App (e.g., the stories you view, the links you click, how frequently you access the App, and other actions you take on the App), and allow us to track your usage of the App over time. We may collect log file information from your browser or mobile device each time you access the App. Log file information may include anonymous information such as your web request, Internet Protocol address, browser type, information about your mobile device, referring / exit pages and URLs, number of clicks and how you interact with links on the App, domain names, landing screens, stories viewed, and other such information. We may employ clear gifs (also known as web beacons) that are used to anonymously track the online usage patterns of our Users. In addition, we may also use clear gifs in HTML-based emails sent to our users to track which emails are opened and which links are clicked by recipients. The information allows for more accurate reporting and improvement of the App. We may also collect analytics data, or use third-party analytics tools, to help us measure traffic and usage trends for the App. We also use Google Analytics to collect information about your activity on the App, such as the links you click, and the searches you conduct on the App. These tools collect information sent by your browser or mobile device, including the screens you visit, your use of third party applications, and other information that assists us in analysing and improving the App.

4.2. When you access our App by or through a mobile device, we may receive or collect and store a unique identification numbers associated with your device (Device ID), mobile carrier, device type and manufacturer, phone number, and, depending on your mobile device settings, your geographical location data, including GPS coordinates (e.g. latitude and/or longitude) or similar information regarding the location of your mobile device.

4.3. We use or may use the data collected through cookies, log file, device identifiers, location data and clear gifs information to:

4.3.1. remember information so that you will not have to re-enter it during your visit or the next time you visit the App;

4.3.2. provide custom, personalised content and information, including advertising. This can include placing advertisements for our products on other external sites. We do this by allowing third parties including Google and Adserve to place cookies on your device which allows them to identify your visit to our Service and preferences shown whilst on it, and your visits to subsequent third party websites in their adserving network. This allows us to serve tailored advertisements to you on those third party websites based on the information we have collected on your interests whilst you were visiting our Service;

4.3.3. provide and monitor the effectiveness of our Service and ensure that we deliver a fast and seamless browsing experience;

4.3.4. monitor metrics such as total number of visitors, traffic, usage, and demographic patterns on our website and our Service;

4.3.5. allow you to share content with social networks, express interest in content and connect with your social media networks;

4.3.6. diagnose or fix technology problems;

4.3.7. otherwise plan for and enhance our Service;

4.3.8. monitor the performance of the Service and the App; and

4.3.9. assess third party conversion by allowing us to collect anonymous data about how our marketing is performing.

5. Sharing Personal Information With Third Parties

5.1. We may share your personal information in a number of instances. For further information on your choices regarding your information, see the "Your Choices Regarding Your Information" section below.

5.2. We may also share your personal information with:

5.2.1 Other companies owned by or under common ownership as Flo-culture, which also includes our subsidiaries (i.e., any organisation we own or control) or our ultimate holding company (i.e., any organisation that owns or controls us) and any subsidiaries it owns. These companies will use your personal information in the same way as we can under this Policy.

5.2.2. Third party vendors, consultants and other service providers that perform services on our behalf, in order to carry out their work for us, which may include identifying and serving targeted advertisements, content or service fulfilment, or providing analytics services.

5.2.3. Our business partners who offer a service to you jointly with us, for example, when running a co-sponsored contest or promotion.

5.2.4. Third parties who we think may offer you products or services you may enjoy.

5.2.5. Third parties at your request. For example, you may have the option to share your Memory Box stories with your friends through email, SMS text, or various social media sites.

5.2.6. The public at your request. If you interact with our app on social media, for example by tagging your stories #MemoryBox on other third party services, that piece of User Content will be linked to our social media profiles and Flo-culture may display your User Content publicly.

5.2.7. Other parties in connection with any company transaction, such as a merger, sale of company assets or shares, reorganisation, financing, change of control or acquisition of all or a portion of our business by another company or third party or in the event of bankruptcy or related or similar proceedings.

5.2.8. Third parties as required to (i) satisfy any applicable law, regulation, subpoena/court order, legal process or other government request, (ii) enforce our Terms of Use Agreement, including the investigation of potential violations thereof, (iii) investigate and defend ourselves against any third party claims or allegations, (iv) protect against harm to the rights, property or safety of Memory Box, its users or the public as required or permitted by law and (v) detect, prevent or otherwise address criminal (including fraud or stalking), security or technical issues.

5.2.9. We may also share information with others in an aggregated and anonymous form that does not reasonably identify you directly as an individual.

6. Your Choices Regarding Your Information

6.1. Online Advertising

We may permit third party online advertising networks to collect information about your use of our App over time so that they may play or display ads that may be relevant to your interests on our App as well as on other websites or apps. Typically, the information we share is provided through cookies or similar tracking technologies. The only way to completely "opt out" of the collection of any information through cookies or other tracking technology is to actively manage the settings on your mobile device. Please refer to your mobile device's technical information for instructions on how to delete and disable cookies, and other tracking/recording tools. (To learn more about cookies, clear gifs/web beacons and related technologies, you may wish to visit http://www.allaboutcookies.org and/or the Network Advertising Initiative's online resources, at http://www.networkadvertising.org). Depending on your mobile device, you may not be able to control tracking technologies through settings.

6.2. Promotional Communications

If you do not wish to receive promotional emails, you can click the "unsubscribe" button on promotional email communications. Note that you are not permitted to unsubscribe or opt-out of non-promotional messages regarding your account, such as account verification, password or local area number requests, order confirmations, change or updates to features of the App, or technical and security notices.

7. Data Retention

We will retain your information for as long as your account is active or as needed to provide you services. Following termination or deactivation of your account, Flo-culture may retain information (including User Content) for a commercially reasonable time for backup, archival, and/or audit purposes. Please contact us at help@flo-culture.com if you wish to delete your account. Please be aware that we will not be able to delete any content you have shared with others or with social media sites.

8. Security And Storage Of Information

Flo-culture cares about the security of your information and uses commercially reasonable physical, administrative, and technological safeguards to preserve the integrity and security of all information we collect and that we share with our service providers. However, no security system is impenetrable and we cannot guarantee the security of our systems 100%. In the event that any information under our control is compromised as a result of a breach of security, we will take reasonable steps to investigate the situation and where appropriate, notify those individuals whose information may have been compromised and take other steps, in accordance with any applicable laws and regulations.

9. Processing of your data outside the UK

9.1. European privacy law permits the export of personal data to other countries subject to the provision of adequate levels of protection for the processing of such personal data.  We will ensure that transfers outside the European Economic Area (EEA) are subject to adequate safeguard as data protection standards in those countries may differ from those in the EEA.

9.2. Your information collected through the App may be stored and processed in the United States or any other country in which Flo-culture or its service providers maintain facilities. If we transfer your personal information to a person, company, office, branch, organisation, service provider or agent in another country, we will make sure that we have appropriate security and privacy measures in place with such third parties covering how they hold and maintain any personal information on our behalf.

10. Persons Under The Age Of 16

Flo-culture does not knowingly collect or solicit any information from anyone under the age of 16 or knowingly allow such persons to register for the App. The App and its content are not directed at children under the age of 16. In the event that we learn that we have collected personal information from a child under age 16 without parental consent, we will delete that information as quickly as possible. 11. Links to third Party Websites

The App may contain links to third-party websites, advertisers, services, special offers, or other events or activities that are not owned or controlled by Flo-culture. Flo-culture does not endorse or assume any responsibility for any such third-party sites, information, materials, products, or services. If you access a third party website from the App, you do so at your own risk, and you understand that this Agreement and Flo-culture's Privacy Policy do not apply to your use of such sites. You expressly relieve Flo-culture from any and all liability arising from your use of any third-party website, service, or content. Additionally, your dealings with or participation in promotions of advertisers found on the App, including payment and delivery of goods, and any other terms (such as warranties) are solely between you and such advertisers. You agree that Flo-culture shall not be responsible for any loss or damage of any sort relating to your dealings with such advertisers.

12. Access to Information

The Data Protection Act 1998 (as amended from time to time) gives you the right to access information held about you. Your right of access can be exercised in accordance with that Act. A small fee may be payable to meet our costs in providing you with details of the information we hold about you.

13. Updates To This Policy

We reserve the right to modify this Policy from time to time. If we make any changes to this Policy, we will change the "Last Revision" date below and will post the updated Policy on this page.
